These Terms and Conditions (“Terms”) govern your access to and use of the ProCert Asia™ website, Learning Management System (LMS), digital platforms, professional certification services, accreditation services, training programmes and all related products and services (“Services”).

By accessing or using our website, you acknowledge that you have read, understood and agreed to be legally bound by these Terms.

1. About ProCert Asia™

ProCert Asia™ is an independent professional certification, accreditation and learning organisation incorporated in Malaysia.

Our services include but are not limited to:

  • Professional Certifications
  • Professional Accreditation
  • Learning Management System (LMS)
  • Digital Learning
  • AI Learning Assistant
  • Digital Certificates
  • Continuing Professional Development (CPD)
  • Accredited Training Provider (ATP) Programmes
  • Accreditation of Training Programmes
  • Industry Development Initiatives
  • Corporate Learning Solutions

2. Acceptance of Terms

By accessing this website, you agree that:

  • You are at least 18 years old or have obtained legal consent from a parent or guardian.
  • You will comply with all applicable laws and regulations.
  • You will not misuse our Services.
  • You accept these Terms without limitation.

If you do not agree, please discontinue use of this website immediately.

3. Intellectual Property Rights

All intellectual property appearing on this website is owned by or licensed to ProCert Asia™ unless otherwise stated.

This includes:

  • Logos
  • Trademarks
  • Course materials
  • Digital certificates
  • Accreditation standards
  • Assessment methodologies
  • Website design
  • Software
  • Source code
  • Graphics
  • Videos
  • AI-generated learning content
  • Databases
  • Publications
  • Training frameworks

No material may be copied, reproduced, modified, distributed, sold, translated, republished, reverse engineered or used commercially without prior written permission from ProCert Asia™.

Unauthorised use may result in legal action.

4. Trademark Protection

“ProCert Asia™”, its logo, certification marks, accreditation marks and associated branding are protected intellectual property.

No person or organisation may:

  • use our logo;
  • claim affiliation;
  • imply endorsement;
  • reproduce certification marks;
  • issue certificates resembling ours;
  • market themselves as accredited unless officially approved.

Any misuse constitutes infringement and may result in legal proceedings.

5. Accreditation

Only organisations officially approved by ProCert Asia™ may represent themselves as:

  • Accredited Training Provider (ATP)
  • Accredited Training Organisation
  • Accredited Programme
  • Accredited Course

Accreditation:

  • remains the property of ProCert Asia™;
  • may be suspended;
  • may be withdrawn;
  • is subject to compliance monitoring;
  • does not transfer ownership of our intellectual property.

Accreditation does not permit modification of our logos, standards or certification framework.

6. Professional Certification

Professional certifications issued by ProCert Asia™ are based on assessment criteria determined solely by ProCert Asia™.

Certification:

  • is not guaranteed;
  • may require assessments;
  • may require identity verification;
  • may require continuing professional development (CPD);
  • may be suspended;
  • may be revoked if fraud or misconduct is discovered.

Certificates remain the intellectual property of ProCert Asia™.

7. Digital Certificates

Digital certificates may include verification technology.

Users may not:

  • alter certificates;
  • edit certificate numbers;
  • modify QR codes;
  • forge verification records;
  • duplicate certificates.

Any fraudulent use will result in immediate cancellation and possible legal action.

8. Continuing Professional Development (CPD)

CPD recognition awarded by ProCert Asia™ is subject to our published policies.

CPD recognition does not imply government licensing unless expressly stated.

Acceptance of CPD points by external organisations remains subject to their individual policies.

9. AI Learning Assistant

Our platform may provide AI-assisted learning.

Users acknowledge:

  • AI responses are educational guidance only;
  • AI may occasionally produce inaccurate information;
  • users remain responsible for independent verification;
  • AI does not replace professional advice.

ProCert Asia™ shall not be liable for decisions made solely based on AI-generated responses.

10. User Accounts

Users are responsible for maintaining:

  • username confidentiality;
  • password security;
  • account activities.

You agree not to:

  • share accounts;
  • impersonate others;
  • create fake accounts;
  • bypass platform security;
  • interfere with our systems.

We reserve the right to suspend any account without prior notice where misuse is suspected.

11. Payments

Where applicable:

  • all fees are quoted in the stated currency;
  • fees are non-transferable;
  • refunds are subject to our Refund Policy;
  • taxes may apply;
  • payment processors operate independently.

Failure to complete payment may result in suspension of services.

12. Refund Policy

Unless otherwise required by law:

  • certification fees are generally non-refundable once assessment has commenced;
  • accreditation fees are non-refundable after evaluation begins;
  • digital products are non-refundable after access is granted;
  • online learning subscriptions are non-refundable once activated.

Exceptions may be considered solely at ProCert Asia™’s discretion.

13. User Conduct

Users shall not:

  • upload malicious software;
  • hack our systems;
  • attempt unauthorised access;
  • distribute spam;
  • infringe intellectual property;
  • submit false information;
  • misuse certificates;
  • engage in unlawful conduct.

Violation may result in permanent suspension.

14. Privacy

Personal information is collected in accordance with our Privacy Policy.

Where applicable, we comply with relevant data protection laws, including Malaysia’s Personal Data Protection Act 2010 (PDPA).

15. Cookies

Our website uses cookies to:

  • improve functionality;
  • analyse traffic;
  • personalise user experience;
  • enhance security.

  • business interruption;
  • loss of profits;
  • loss of data;
  • reputational damage;
  • consequential damages;
  • reliance on educational content;
  • AI-generated recommendations.

Use of our Services is at your own risk.

19. Indemnity

You agree to indemnify and hold harmless ProCert Asia™, its directors, employees, consultants, partners, affiliates and representatives against any claims, losses, damages, liabilities, costs and legal expenses arising from:

  • your misuse of the Services;
  • breach of these Terms;
  • infringement of third-party rights;
  • unlawful activities conducted using your account.

20. Suspension and Termination

We reserve the right to:

  • suspend accounts;
  • revoke certifications;
  • terminate accreditation;
  • remove website access;
  • delete accounts;
  • refuse future applications,

where there is evidence of fraud, misconduct, policy violations or actions that may harm the integrity or reputation of ProCert Asia™.

21. Changes to Services

We reserve the right to:

  • modify courses;
  • update certification requirements;
  • revise accreditation standards;
  • introduce new technologies;
  • discontinue services,

without prior notice.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Malaysia.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise agreed in writing.

23. International Users

Users accessing our Services outside Malaysia are responsible for ensuring compliance with their local laws and regulations.

Nothing in these Terms constitutes legal recognition of certification or accreditation in any jurisdiction unless expressly stated.

24. Force Majeure

ProCert Asia™ shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, government actions, internet outages, labour disputes or acts of war.

25. Entire Agreement

These Terms constitute the entire agreement between you and ProCert Asia™ regarding the use of the Services and supersede any prior understandings or agreements relating to the same subject matter.

26. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
